Terms of Service
These Terms of Service (“Terms”) govern your use of the website, client portal, products and services provided by Abramson Technologies LLC, a Florida limited liability company (“Company,” “we,” “us,” or “our”) (together, the “Services”).
By accessing or using the Services, creating an account, placing an order, paying a quote or invoice, or entering into any agreement with us, you agree to these Terms. If you’re agreeing on behalf of a business, you confirm you’re authorized to bind it.
1. Eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Services.
2. Services
Abramson Technologies provides:
- IT consulting and technical services
- Custom software, dashboards, and automation
- Web development, online stores, and system integrations
- Digital products, such as streaming overlays and templates
- Subscription services, such as ongoing support, maintenance, or program access
- Physical products and hardware
Project work may also be covered by a proposal, statement of work (SOW), quote, or order. If one of those conflicts with these Terms, the proposal, SOW, quote, or order controls for that project.
3. Accounts & Dashboard Access
You may need an account to buy products, pay orders, download purchases, or use dashboards. You agree to:
- Give accurate information and keep it up to date
- Keep your login credentials secure and not share your account
- Not scrape, reverse engineer, overload, or misuse our systems
- Accept responsibility for all activity on your account
4. Orders, Quotes & Pricing
- Prices are in US dollars. Sales tax is added where required and shown before you pay.
- A quote is valid until the date shown on it, or 30 days after it’s sent if no date is shown. You accept a quote by paying it (or its deposit) or by approving it in writing.
- We may refuse or cancel an order, for example if a price or description was wrong, an item is unavailable, or we suspect fraud. If we cancel after you’ve paid, we’ll refund what you paid for the cancelled part.
- Changes to a project’s scope after it starts may change its price and timeline. We’ll agree any change with you before doing the extra work.
5. Payments & Billing
- Payments are processed by Stripe. We don’t receive or store your full card details.
- Where offered, you can pay with Klarna or Affirm. Those payments are financed by that provider under its own terms, and we’re paid in full by them.
- Project work may require a deposit before it starts, with the balance due when we request it, or may be split into scheduled payments as shown on your order.
- Payments are due on the date shown on your order or invoice. If a payment is late or fails, we may pause work, suspend access to the related Services, or withhold deliverables until it’s paid.
- If you dispute a charge with your bank instead of contacting us first, we may suspend the related Services while the dispute is open.
6. Saved Payment Methods & Automatic Charges
Some purchases save your card with Stripe so later payments can be taken automatically: subscriptions with autopay on, and orders split into scheduled monthly payments. When you choose one of these, you authorize us to charge that card, without asking again each time:
- For a subscription with autopay: the subscription price, plus any tax, at the start of each billing period until you cancel or turn autopay off.
- For scheduled payments: each remaining payment shown on your order, on or after its due date.
You can update your card or turn autopay off from your account at any time. We email a receipt for every payment, and we’ll tell you if a charge fails so you can pay another way. If a saved card expires or is replaced, Stripe may update it automatically with information from your bank.
7. Subscriptions & Renewals
- Renewal. Subscriptions renew automatically at the end of each billing period (for example monthly or yearly) until cancelled.
- How you pay. With autopay on, your saved card is charged when each period starts. With autopay off, we email an invoice when each period starts and it’s due within 7 days. If it isn’t paid, we may suspend the subscription until it is.
- Cancelling. You can cancel any time from your account or by contacting us. Cancellation takes effect at the end of the current billing period; you keep access until then and won’t be charged again.
- Price changes. We’ll give you at least 30 days’ notice by email before a subscription price changes. The new price applies from your next billing period after the notice; you can cancel before then.
- Pausing. We may pause billing on a subscription, for example at your request.
8. Refunds, Cancellations & Defects
Refunds. All payments are non-refundable unless these Terms say otherwise, the law requires a refund, or we decide to give one. Refunds, partial refunds, and credits are at our sole discretion and depend on things like how much work was completed, whether a digital product was downloaded, and how much of a subscription period was used. Approved refunds go back to the original payment method.
Cancelling project work. If you cancel a project before it’s finished, deposits and payments for work already done aren’t refundable. We may invoice for work completed but not yet paid.
Subscriptions. Cancelling stops future charges. We don’t give partial refunds for the rest of a billing period unless we decide to.
Defects. If something you bought from us doesn’t work as described, tell us within 30 days of delivery (or of the work being completed) and describe the problem. If we confirm a defect, we’ll do one of the following, at our choice: fix it, replace it, re-perform the work, or refund the amount you paid for the defective part. This is your sole remedy for defects. It doesn’t cover problems caused by misuse, changes made by you or others, third-party software or services, hardware we didn’t supply, or normal wear and tear.
9. Digital Products & Licenses
Digital products (such as overlays, templates, files, or software) are licensed, not sold. Unless the product’s page or included license says otherwise, when you pay for a digital product we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download and use it for your own personal use or your own business, including your own streams, videos, and websites
- Modify it for your own use
Unless the product’s license allows it, you may not:
- Resell, sublicense, share, give away, or redistribute it, whether modified or not
- Include it in a product, template, or asset pack offered to others
- Use it for clients or other third parties
- Claim it as your own work or remove any credits or notices
A product’s own license terms, shown on its page or included with the download, control if they differ from this section. Downloads may be limited in number and time, as shown in your account; keep a backup copy. The license ends automatically if you break these terms or if the payment is refunded or reversed.
10. Physical Products
Shipping costs, delivery estimates, and any return options are shown when you buy. Delivery dates are estimates. Risk of loss passes to you when the carrier delivers the item. Check items when they arrive and report damage or defects under Section 8.
11. Intellectual Property
Unless otherwise agreed in writing:
- Deliverables remain our property until they’re paid for in full
- Ownership and licensing of project deliverables are set out per project
- We keep all rights to our pre-existing and internal tools, code, frameworks, templates, and methods, and grant you a license to use any of them included in your deliverables
- We may show non-confidential work in our portfolio unless you ask us not to
12. Confidentiality & Data Access
To provide the Services we may need access to your systems, accounts, APIs, or data. You confirm you’re authorized to give us that access. We’ll use it only to provide the Services, keep your confidential information confidential, and won’t intentionally keep your data longer than needed to do the work.
13. Third-Party Services
The Services rely on third parties, such as Stripe, Klarna, Affirm, Google Firebase, Cloudflare, hosting providers, and platforms we build on or integrate with. Their services are governed by their own terms, and we aren’t responsible for their outages, changes, or actions.
14. Communications
We’ll email you about your account, orders, payments, receipts, renewals, and Services. These messages are part of the Services and you can’t opt out of them while you have an active order or subscription.
If you agree when you sign up (or later), we may also send marketing emails. Every marketing email includes an unsubscribe link, and you can opt out at any time without affecting your account.
15. Disclaimer of Warranties
Except as stated in Section 8, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We don’t guarantee business results, uptime, or uninterrupted or error-free operation.
16. Limitation of Liability
To the fullest extent permitted by law, Abramson Technologies LLC won’t be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
Our total liability for any claim relating to the Services won’t exceed the amount you paid us for the Services giving rise to the claim in the 90 days before it arose.
17. Indemnification
You agree to indemnify and hold us harmless from claims, losses, and costs (including reasonable attorneys’ fees) arising from your misuse of the Services, your content or systems, or your breach of these Terms.
18. Disputes & Governing Law
Talk to us first. Before starting a claim, email us at [email protected] describing the issue and give us 30 days to try to resolve it.
Arbitration. Any dispute that isn’t resolved will be settled by binding individual arbitration in Florida, under the rules of the American Arbitration Association, except that either of us may bring an individual claim in small claims court if it qualifies, and either of us may ask a court for an injunction to protect intellectual property or confidential information.
No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, collective, or representative proceeding. If this sentence is found unenforceable for a claim, that claim will go to court instead of arbitration.
Jury waiver. To the extent a dispute goes to court, both of us waive the right to a jury trial.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
19. Termination
We may suspend or end your access to the Services for breach of these Terms, non-payment, or misuse. You may close your account at any time. Sections that by their nature should continue (including payment obligations, licenses you’ve paid for, and Sections 8 and 11 to 21) survive termination.
20. Changes to These Terms
We may update these Terms from time to time. We’ll post the new version here with a new date, and email account holders about material changes. Changes apply from the date posted, except that they won’t apply to a dispute that arose before the change or change the price of something you’ve already paid for.
21. General
- Entire agreement. These Terms, together with any proposal, SOW, quote, or order for your project and our Privacy Policy, are the entire agreement between us about the Services.
- Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
- No waiver. Not enforcing a term isn’t a waiver of our right to enforce it later.
- Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours as part of a merger, sale, or reorganization.
- Events beyond our control. We aren’t responsible for delays or failures caused by events outside our reasonable control.
